Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SREDlog (the “Service”), operated by MITRAS GROUP INC. (“SREDlog”, “we”, “us”). By creating an account or using the Service, you agree to these Terms.
1. The Service
SREDlog is software that helps prepare SR&ED claims by organizing evidence, drafting narratives and forms, producing assessments, and assembling an indexed supporting binder. It assists the people responsible for preparing and reviewing the claim; it does not file with the CRA on your behalf.
2. Accounts and eligibility
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and your team members’ accounts.
You must be at least 18 and able to enter into a contract. The Service is intended for business use.
3. Your content and responsibilities
You retain ownership of the data and documents you put into the Service (“Your Content”). You grant us a limited licence to host and process Your Content solely to provide the Service.
You are responsible for Your Content and for having the rights and consents needed to upload it, including information about your clients and employees, and for the accuracy of what you submit and file.
4. Important: AI-generated drafts
The Service uses AI to produce drafts (narratives, assessments, suggested values). These are drafts only. They may contain errors or omissions and must be reviewed and verified by a qualified person before use or filing.
SREDlog does not provide tax, accounting, legal or professional advice, and does not guarantee that any claim will be accepted by the CRA or any other authority. You are solely responsible for what you submit.
5. Acceptable use
Don’t misuse the Service: no unlawful use, no infringing or unauthorized data, no attempts to breach security or access other firms’ data, no reselling or scraping the Service, and no use that overloads or disrupts it.
If you use bring-your-own-key, you are responsible for any AI key you connect and for usage and costs billed to that key by your AI provider. SREDlog AI usage is governed by your plan’s included allowance and any additional usage you purchase in Canadian dollars.
6. Plans, billing and trials
Paid plans are billed annually in advance for a chosen new-filing capacity. One claim means one corporation for one tax year. Capacity applies to the subscription year in which the filing is first counted; unused capacity expires and does not roll over. New firms may receive a limited free trial.
Paid upgrades add capacity after the upgrade payment succeeds and are charged at the full annual difference between capacities, without time-based proration. Downgrades take effect at the next renewal. Mid-term downgrades, cancellations, and unused capacity do not create credits or refunds except where required by law.
AI features run on either the SREDlog AI allowance included with your trial or paid plan, additional AI usage you purchase in Canadian dollars, or your Firm’s own OpenAI key. SREDlog AI pauses when the available allowance is used; it does not add usage charges without an explicit purchase.
Fees are non-refundable except where required by law. We may change pricing for a future renewal with reasonable notice. Applicable taxes are added to displayed prices. Failure to pay may result in suspension.
You can cancel at any time; cancellation takes effect at the end of the current billing period. If your subscription ends, your workspace becomes read-only, your data stays intact and viewable, and full access returns when you subscribe again.
7. Intellectual property
The Service, including its software, design and content (excluding Your Content), is owned by us and our licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing.
8. Confidentiality and security
We take reasonable measures to protect Your Content (see our Security page and Privacy Policy). You agree to keep any non-public information about the Service confidential.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or complete.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, or claim amounts (including any SR&ED amounts denied or reduced).
Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold us harmless from claims arising out of Your Content, your use of the Service, or your breach of these Terms.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends; we will handle your data as described in the Privacy Policy.
13. Governing law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Quebec have exclusive jurisdiction, subject to any non-waivable rights.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date, and for material changes we will provide reasonable notice. Continued use after changes take effect means you accept them.
