Terms of Service

These Terms of Service (the “Terms”) constitute a legal agreement governing access to and use of the SREDlog website, applications and related services (collectively, the “Service”), operated by MITRAS GROUP INC. (“SREDlog”, “we”, “us” or “our”). By creating an account, accepting an order or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility and authority

The Service is intended solely for business use by persons who have reached the age of majority and have legal capacity to enter into a binding agreement.

If you use the Service on behalf of an organization (the “Customer”), you represent and warrant that you have authority to bind the Customer to these Terms. In that case, “you” includes both you and the Customer.

2. The Service

SREDlog provides software for organizing information and supporting the preparation, review and documentation of Scientific Research and Experimental Development claims and related work. Features may include evidence organization, drafting assistance, calculations, workflow controls, forms and exportable supporting materials.

SREDlog is a technology service. It does not provide legal, tax, accounting or other professional advice; determine eligibility; act as an authorized representative before a governmental authority; or submit a filing on a Customer’s behalf.

3. Accounts and authorized users

You must provide complete and accurate registration information and keep it current. You are responsible for safeguarding account credentials, recovery materials and access devices, and for promptly notifying SREDlog of suspected unauthorized access.

The Customer is responsible for designating authorized users, managing their access and permissions, and all activity occurring through its accounts, except to the extent directly caused by SREDlog’s breach of these Terms.

Accounts are personal to the authorized user and may not be shared. SREDlog may require reasonable verification before processing a security-sensitive request.

4. Customer Data

As between the parties, the Customer retains all right, title and interest in information, documents and other material submitted to the Service by or on behalf of the Customer (“Customer Data”).

The Customer grants SREDlog a limited, non-exclusive right to host, reproduce, transmit and otherwise process Customer Data solely as necessary to provide, secure, support and improve the operation of the Service, comply with law and exercise SREDlog’s rights under these Terms.

The Customer represents and warrants that it has all rights, authorizations, notices and consents required to submit Customer Data and instruct SREDlog to process it. The Customer is responsible for the legality, accuracy, quality and appropriateness of Customer Data and for maintaining any copies it is legally required to retain outside the Service.

5. SREDlog AI and professional review

SREDlog AI may generate drafts, classifications, extracted information, analyses or other assistance in response to Customer instructions. Such outputs are probabilistic, may be incomplete or inaccurate, and are not final professional conclusions.

The Customer is solely responsible for reviewing and validating all inputs and outputs, applying appropriate professional judgment, obtaining any required advice, and approving all claims, forms, calculations and submissions before use or filing.

SREDlog does not warrant any particular eligibility determination, tax treatment, credit amount, acceptance, audit result or governmental outcome.

6. Acceptable use

You must not use the Service in violation of law or third-party rights; submit information without the required authority; interfere with or disrupt the Service; circumvent access, security or usage controls; attempt to access another customer’s information; introduce malicious code; conduct unauthorized security testing; scrape, copy or reverse engineer the Service except to the extent such restriction is prohibited by law; resell or sublicense the Service without written authorization; or use the Service to develop or benchmark a competing product without SREDlog’s written consent.

SREDlog may investigate suspected misuse and may restrict access where reasonably necessary to protect the Service, its customers or other persons.

7. Subscriptions, fees and trials

Paid subscriptions are billed in advance for the term and filing capacity shown at purchase or in an applicable order. Unless otherwise stated, fees are in Canadian dollars, exclude applicable taxes and are non-refundable except where required by law.

Filing capacity applies to new filing records started during the applicable subscription term. Unused capacity expires at the end of that term and does not carry forward. Upgrades may take effect during a current term upon payment of the applicable price difference; reductions ordinarily take effect at renewal.

SREDlog AI includes the allowance stated for the applicable plan. Optional additional usage may be purchased separately. SREDlog does not impose additional AI usage charges without an express purchase or authorization.

A trial may be subject to duration, capacity, feature or export limits. SREDlog may modify or discontinue a trial offering at any time, provided that changes will not retroactively increase amounts already agreed for a paid subscription.

Subscriptions renew only as disclosed at purchase. You may cancel in accordance with the account controls or applicable order. Non-payment may result in suspension or restriction of access.

8. Confidentiality, privacy and security

Each party must protect the other party’s non-public information using reasonable care and may use it only to perform or exercise rights under these Terms. Confidentiality obligations do not apply to information that is lawfully public, already known without restriction, independently developed or lawfully received from another source.

SREDlog processes personal information in accordance with the Privacy Policy. Current security information is available on the Security page. The Customer remains responsible for configuring user permissions appropriately and for its own legal obligations concerning Customer Data.

9. Intellectual property

SREDlog and its licensors retain all right, title and interest in the Service, including its software, interfaces, designs, documentation, trademarks and related intellectual property, excluding Customer Data.

Subject to these Terms and payment of applicable fees, SREDlog grants the Customer a limited, revocable, non-exclusive, non-transferable and non-sublicensable right during the applicable term to access and use the Service for its internal business purposes.

If you provide feedback or suggestions, SREDlog may use them without restriction or obligation, provided that SREDlog does not identify the Customer publicly without permission.

10. Third-party services

The Service may interoperate with services provided by third parties. A Customer’s use of a third-party service is governed by the agreement between the Customer and that third party. SREDlog is not responsible for a third-party service or for changes, suspension or termination of that service.

The Customer authorizes SREDlog to exchange Customer Data with a third-party service only when the Customer enables or requests the applicable function and to the extent necessary to provide it.

11. Service availability and changes

SREDlog may update, maintain or modify the Service from time to time. SREDlog will not materially reduce the core functionality of a paid subscription during its current term without reasonable notice, except where a change is required for security, legal compliance or circumstances outside SREDlog’s reasonable control.

Temporary interruptions may occur for maintenance, security, third-party failures or events beyond SREDlog’s reasonable control. SREDlog will use commercially reasonable efforts to restore affected service functionality.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”. SREDLOG DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY AND COLLATERAL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND RESULTS.

SREDlog does not warrant that the Service will be uninterrupted, error-free or suitable for every Customer requirement, or that Customer Data or generated outputs will be accurate, complete or sufficient for a filing, review or professional obligation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SREDLOG WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, TAX CREDITS OR CLAIM AMOUNTS, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SREDLOG’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CUSTOMER FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

The exclusions and limitations in this section apply regardless of the form of action and will not apply to the extent prohibited by applicable law.

14. Indemnification

The Customer will defend, indemnify and hold harmless SREDlog and its officers, directors, employees and affiliates from third-party claims, damages, liabilities, costs and reasonable legal fees arising from Customer Data, the Customer’s unlawful or unauthorized use of the Service, or the Customer’s material breach of these Terms, except to the extent caused by SREDlog’s own breach, negligence or wilful misconduct.

15. Suspension and termination

SREDlog may suspend access where reasonably necessary to address non-payment, a material breach, a security risk, unlawful activity or a threat to the Service or other customers. Where practicable, SREDlog will provide notice and an opportunity to remedy the issue.

Either party may terminate as permitted by the applicable subscription, order or these Terms. Upon termination, access rights end and Customer Data will be handled in accordance with the Privacy Policy and any applicable contractual retention or export provisions.

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, confidentiality, disclaimers, limitations of liability, indemnification and general terms.

16. Governing law and forum

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Subject to any rights that cannot lawfully be waived, the courts located in Québec will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

17. Changes to these Terms

SREDlog may amend these Terms from time to time. Revised Terms will be posted with an updated effective date. SREDlog will provide reasonable advance notice of a material change where required by law or where the change materially affects a current paid subscription. Continued use after the effective date constitutes acceptance of the revised Terms, subject to applicable law.

18. General

These Terms, together with any applicable order and incorporated policies, constitute the entire agreement concerning the Service and supersede prior discussions concerning their subject matter. If an order expressly conflicts with these Terms, the order governs to the extent of the conflict.

A failure to enforce a provision is not a waiver. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue in effect. The Customer may not assign these Terms without SREDlog’s prior written consent, except in connection with a merger, reorganization or sale of substantially all relevant assets. SREDlog may assign these Terms in connection with a corporate reorganization, financing or transfer of the Service.
